BY ACCESSING THE STRATEGY LAB BETA TOOL YOU CONSENT TO THE FOLLOWING TERMS OF USE.

OWNERSHIP AND USE OF CONTENT

Content: You may provide input (“Input”) to the Beta (as defined below) and receive output from the Beta based on the Input (“Output”). Input and Output are collectively referred to as “Content.” Input may be comprised of intellectual property (“IP”) that you created, as well as IP owned by HBP, or IP owned by third parties. If you include any IP in your Input that you did not create yourself, you are responsible for ensuring that its inclusion does not violate the rights of any third parties, applicable laws, or these terms. By including such third-party IP in your Input you are representing and warranting that you have all necessary rights, licenses, and permissions needed to include such IP in the Input, for all the uses described in these Terms of Use. You retain ownership of any original IP that you create and include in your Input.

Ownership of Content: As between you and HBP, and to the extent permitted by applicable law, except your original Input and any third-party IP, HBP owns rights in its embedded IP and derivatives thereof. For the sake of clarity, any Output, except for the IP of HBP and all/any derivatives thereof, is owned by you.

HBP Use of User Content: All information shared within the Beta is confidential. Access is limited to select members of the HBP team who have a direct professional need, such as debugging or product improvement. User data is used to personalize the Beta’s responses to User but is not used to train the tool or any underlying large language models (LLMs) and is not shared with any third parties. The Beta may retain user conversations from within an individual exchange with the User to enhance service quality, ensure compliance, and improve performance of the Bot.

Accuracy: Output may not be accurate. You should not rely on Output from the Beta as a sole source of true, factual, or accurate information. You are responsible for evaluating Output for accuracy and appropriateness to your situation.

DISCLAIMER
The beta software, tool, product, feature and services (“Beta”) licensed hereunder is still in the testing phase and is provided on an “as is” and “as available” basis and may contain defects, inaccuracies and limited security protections. The primary purpose of this beta testing is to obtain feedback on Beta performance, services and the identification of defects. You are advised to safeguard important data, to use caution and not to rely in any way on the correct functioning or performance of the Beta and/or accompanying materials. Any downloading or uploading of material to the Beta is done at your own risk and you will be solely responsible for any damage to any computer system or loss of data that results from such activities. HBP may modify or discontinue the Beta or any parts thereof at any time in its sole discretion. Neither HBP nor its affiliates or their respective officers, directors, members, employees or agents will have any liability for any harm or damage arising out of or in connection with limiting or removing your access to or use of the Beta or any parts thereof.

LIMITATION ON LIABILITY
THE BETA AND RELATED SERVICES ARE EXPERIMENTAL AND WILL NOT CREATE ANY OBLIGATION FOR HBP TO CONTINUE TO DEVELOP, PRODUCTIZE, SUPPORT, REPAIR, OFFER FOR SALE OR IN ANY OTHER WAY CONTINUE TO PROVIDE OR DEVELOP THE BETA TO ANY PARTY. THE BETA IS PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. HBP DOES NOT WARRANT THE ACCURACY, COMPLETENESS, AVAILABILITY OR TIMELINESS OF THE BETA. IN NO EVENT WILL HBP OR ITS AFFILIATES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES AND AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS, DAMAGES, COST, INJURY OR EXPENSE WHATSOEVER OF ANY KIND, WHETHER DIRECT, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL IN RELATION TO THE BETA OR ANY PARTS THEREOF, EVEN IF HBP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGES, COST, INJURY OR EXPENSE.

YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM THE BETA IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON THE OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

COMPLIANCE
HBP will comply fully with all applicable laws, regulations and government orders relating to personally identifiable information (PII) and data privacy with respect to any such data (Data) that HBP receives from User or has access to under this Agreement in connection with User’s authorized use of the Beta. HBP will otherwise protect PII and Data and will not use, disclose, or transfer across borders such PII or Data except as necessary to perform under this Agreement or as authorized by the User or in accordance with applicable law.
